Curriculum Purchase Agreement

Legal agreement governing curriculum purchases by accredited institutions

This Curriculum Purchase Agreement ("Agreement") is entered into between:

CIEAF

Certified International Education Agencies Foundation

("Licensor")

The Accredited Institution

Identified in the Purchase Order

("Licensee")

Collectively referred to as "the Parties."

1. Eligibility

1.1

Only institutions holding active CIEAF accreditation may purchase curriculum.

1.2

Loss of accreditation immediately terminates all curriculum rights.

No accreditation = No curriculum rights. No exceptions.

2. Grant of License

Upon payment of the applicable fees, CIEAF grants the Licensee a non‑exclusive, non‑transferable, revocable license to:

Rebrand the curriculum under the Licensee's name
Deliver the curriculum to learners
Use CIEAF‑aligned assessments
Issue certificates under the Licensee's brand

This license is valid only while accreditation remains active.

3. Fees

The Licensee agrees to pay:

3.1 One‑Time Per‑Course License Fee

3.2 Annual Licensing & Compliance Fee (Institution‑Wide)

3.3 Annual Curriculum Compliance Fee (Per Course Purchased)

€600

per course per year

All fees are non‑refundable.

4. Restrictions

The Licensee may NOT:

  • Sell, share, or transfer curriculum to third parties
  • Publish curriculum publicly
  • Modify core learning outcomes or assessment standards
  • Deliver curriculum after accreditation lapses
  • Use curriculum for franchising or sublicensing

⚠️ Violation results in immediate termination and legal action.

5. Updates and Version Control

CIEAF will provide updated versions of curriculum. The Licensee must:

  • Adopt updated versions within 90 days of release
  • Discontinue outdated versions
  • Maintain version control records for audit purposes

6. Compliance and Audits

CIEAF may conduct audits to verify:

  • Proper curriculum use
  • Version control compliance
  • Assessment integrity
  • Documentation compliance

Non‑compliance may result in suspension or termination of licensing rights.

7. Termination

Licensing rights terminate if:

  • Accreditation lapses
  • Annual fees are unpaid
  • Compliance obligations are not met
  • Policy violations occur

Upon termination, the Licensee must cease all use of CIEAF curriculum immediately.

8. Governing Law

This Agreement is governed by the laws of England and Wales.

9. Acceptance

By purchasing curriculum, the Licensee automatically agrees to all terms in this Agreement.

No separate signature is required. Purchase constitutes binding acceptance.
