1. Acceptance of Terms

By accessing or using the CIEAF website, services, platform, or any associated applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you ("you," "your," or "User") and CIEAF (Certified International Education Agencies Foundation) ("CIEAF," "we," "us," or "our").

2. Definitions

  • "Accreditation" means the formal recognition granted to an institution that meets CIEAF quality standards.
  • "Accredited Institution" means an institution that has successfully completed the CIEAF accreditation process.
  • "Curriculum Marketplace" means the platform where accredited institutions can purchase licensed curriculum.
  • "Member" means an accredited institution that has active membership status.
  • "Content" means all materials, including curriculum, documents, templates, and resources provided by CIEAF.
  • "Platform" means the CIEAF website and all associated services.

3. Eligibility

To use our Services, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal authority to bind your institution to these Terms
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Comply with all applicable laws and regulations

Curriculum Marketplace access is strictly limited to accredited institutions only.

4. Account Registration

To access certain features of our Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your information
  • Keep your password confidential and secure
  • Notify us immediately of any unauthorized account access
  • Accept responsibility for all activities under your account

CIEAF reserves the right to suspend or terminate accounts that violate these Terms or provide false information.

5. Accreditation Terms

Accreditation is granted to institutions that successfully complete the evaluation process. Key terms include:

  • Accreditation is valid for one year from the date of award
  • Annual renewal is required to maintain accredited status
  • Accreditation fees are non-refundable once the evaluation process begins
  • CIEAF reserves the right to revoke accreditation for non-compliance
  • Accredited institutions must adhere to CIEAF quality standards
  • Loss of accreditation results in immediate loss of membership benefits

Accreditation is a privilege, not a right. CIEAF reserves the right to deny or revoke accreditation at its sole discretion.

6. Curriculum Marketplace

The Curriculum Marketplace is available exclusively to accredited institutions. By purchasing curriculum, you agree:

  • Curriculum is licensed, not sold, to your institution
  • You may rebrand materials with your institution's name and logo
  • You may not sublicense, resell, or distribute curriculum to third parties
  • Curriculum rights terminate immediately upon accreditation loss
  • All curriculum must be delivered as structured by CIEAF standards
  • Annual compliance fees apply per course purchased
  • You must maintain accurate records of curriculum usage

Violation of curriculum licensing terms may result in immediate termination of access and legal action.

7. Payments & Fees

All fees are quoted in Euros (€) and are subject to change with prior notice. Payment terms:

  • All payments must be made in full before services are rendered
  • Payment methods include Stripe, M-Pesa, and bank transfer
  • All payments require admin approval, even after successful transaction
  • Late payments may incur penalty fees
  • Institutions are responsible for all transaction fees and taxes
  • CIEAF reserves the right to suspend access for non-payment

8. Refund Policy

CIEAF maintains a strict refund policy:

  • Application Fees: Non-refundable once submitted
  • Evaluation Fees: Non-refundable once evaluation begins
  • Curriculum Purchases: Non-refundable after download
  • Annual Fees: Pro-rated refunds only within 30 days of payment
  • Conference Registrations: Refundable up to 30 days before event

Refund requests must be submitted in writing to billing@cieaf.org and will be reviewed on a case-by-case basis.

9. Intellectual Property

All content, materials, and intellectual property on the CIEAF platform are owned by or licensed to CIEAF, including:

  • Curriculum content, structure, and methodology
  • Course materials, facilitator guides, and learner manuals
  • Assessment tools and evaluation frameworks
  • Logos, trademarks, and branding elements
  • Website design, code, and functionality
  • Accreditation frameworks and standards

You may not reproduce, distribute, modify, create derivative works of, or publicly display any CIEAF intellectual property without explicit written consent, except as expressly permitted by your curriculum license.

10. User Conduct

You agree not to engage in any of the following prohibited activities:

  • Sharing account credentials with unauthorized users
  • Attempting to bypass accreditation requirements for marketplace access
  • Reselling, sublicensing, or redistributing curriculum without authorization
  • Misrepresenting your accreditation status
  • Using CIEAF materials to deliver unaccredited programs
  • Interfering with platform security or functionality
  • Uploading malicious code or false information
  • Harassing, abusing, or harming other users

11. Termination

CIEAF may terminate or suspend your account and access to Services immediately, without prior notice, for:

  • Violation of these Terms
  • Non-payment of fees
  • Loss of accreditation status
  • Fraudulent or illegal activities
  • Misuse of curriculum or intellectual property

Upon termination, your right to use the Services will immediately cease, and you must destroy all CIEAF materials in your possession.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

  • We do not warrant that services will be uninterrupted or error-free
  • We do not guarantee specific outcomes from accreditation or curriculum use
  • We are not responsible for third-party content or links
  • We do not warrant that curriculum meets local regulatory requirements

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIEAF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless CIEAF and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of Services, violation of these Terms, or infringement of any third-party rights.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

16. Dispute Resolution

Any dispute arising from these Terms or your use of Services shall first be attempted to be resolved through informal negotiation. If unresolved, disputes shall be submitted to binding arbitration in London, United Kingdom.

Each party shall bear its own arbitration costs.

17. Modifications to Terms

CIEAF reserves the right to modify these Terms at any time. Changes become effective upon posting to our website. Your continued use of Services after changes constitutes acceptance of modified Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between you and CIEAF regarding Services, superseding any prior agreements.
